By making a purchase on the EMVCo website at www.emvco.com (“Site”), you signify that you have read, understand and agree to be bound by these Terms of Sale (“Terms of Sale”).  Your purchases and your use of the Site are governed by the EMVCo Terms of Use, which are incorporated herein by reference.

These Terms of Sale are subject to change without prior written notice at any time, in EMVCo’s sole discretion, and such changes shall apply to any purchases made after such changes are posted to the Site.  Therefore, you should review these Terms of Sale prior to each purchase so you will understand the terms applicable to such transaction and confirm that you wish to have any revised terms apply to your prior transactions. If you do not agree to these Terms of Sale, do not make any purchases on the Site.

1. Payment Methods and Terms

EMVCo accepts Visa, MasterCard, JCB and American Express credit cards and certain debit cards as payment methods for purchases on the Site.  By making a purchase on the Site, you authorize EMVCo, or its designated payment processor, to charge your specified credit or debit card in the amount specified.  EMVCo reserves the right to refuse or cancel any purchases or attempted purchases at any time in its sole discretion.  All charges will be made in United States dollars or such other currency as indicated during the payment process.  Currency exchange settlements are based on your agreement with your credit card or other payment method provider.

2. Refunds

Except as noted in the next paragraph, there are no refunds for payments made through the Site, including for the payment of annual subscription fees or purchase of printed specifications.

Except as otherwise may be stated in the applicable meeting announcement or invitation, refund of the registration fee for a user group or vendor meeting, less a $100 cancellation fee per person, is available if a cancellation request is received by EMVCo at least thirty (30) days prior to the start of the meeting.  EMVCo is not responsible for cancellation of travel or lodging reservations.

3. Delivery of Goods

Title to any printed documents or other tangible items purchased through the Site will pass from EMVCo to you upon shipment by EMVCo.  Items lost or damaged in shipment are the responsibility of the purchaser.

4. Meetings

Prior to attending a user group or vendor meeting, an authorized representative of your Organization (as defined in the EMVCo Subscription Agreement) may be required to execute and deliver to EMVCo a meeting participation or submissions agreement, which may include terms regarding feedback and suggestions, intellectual property rights, confidentiality and other important matters.  You acknowledge and agree that you (or your delegate for whom you register to attend a meeting, as applicable) may not attend or participate in a meeting without submitting a properly executed meeting participation or submissions agreement to EMVCo prior to the meeting.

5. Taxes

You are responsible for any sales, VAT or other taxes that you are obligated to pay or that EMVCo may collect from you in connection with your purchase. If you do not pay such sales or other tax or fee on a transaction, you will be responsible for such taxes or fees in the event that they are later determined to be payable on such sale, and EMVCo reserves the right to collect such taxes or other fees from you at any time.

6. Privacy

Please refer to our Privacy Policy for information on how EMVCo collects, uses and discloses personally identifiable information from its users and customers.

7. Severability

If any provision of these Terms of sale shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Sale and shall not affect the validity and enforceability of any remaining provisions.

8. Relation to Terms of Use

All of the terms and conditions in the Terms of Use are incorporated herein and apply to these Terms of Sale and your purchases with EMVCo.  Without limitation, these include the provisions in the Terms of Use concerning EMVCo’s limited warranty, disclaimers and limitation on liability, choice of law, venue and consent to jurisdiction.  In the event of a conflict or inconsistency between these Terms of Sale and the Terms of Use, these Terms of Sale shall be controlling.
